Forming a Domestic LLC in the State of Florida
A domestic LLC is an entity that conducts business within the state where it was formed. When forming a domestic LLC in Florida, it is required to appoint a resident agent and registered office. It is required that the name of the newly formed LLC include the words "Limited Liability Company" or its abbreviations "L.L.C" or "LLC" respectively. However, t he State of Florida does not reserve business names. Along with these guidelines, a company also needs to submit one signed original and one conformed copy of the Articles of Organization . The fees for these include: $25 for a Certificate of Designation of Resident Agent / Registered Office and Affidavit, $100 for the Articles of Organization, and optional $30 Certificate Fee.
Forming a Foreign LLC in the State of Florida
I f your company is incorporated in a different state but you would like to conduct business in Florida, it is required that you assign a resident agent and registered office in the State of Florida. The naming guidelines are the same as a domestic LLC. The documents that need to be submitted to the Secretary of State include a Certificate of Existence from the State under whose law the business was incorporated, one executed original and one conformed copy of the Application for Registration of Foreign Limited Liability Company for Authorization to Transact Business in Florida, and one signed original and one conformed copy of the Certificate of Designation of Resident Agent / Registered Office. There is a $25 filing fee for the designation of acceptance by a resident agent, a $100 filing fee for the application, and an optional $30 fee for certified copies of the Application with the Florida Department of State.
